AnyMind Group expands into Indonesia with Digital Distribusi acquisition

AnyMind Group has agreed to acquire the entire stock of Indonesian-based eDistributor eCommerce enabler PT Digital Distribusi Indonesia (DDI). This is the group’s first acquisition in Indonesia and comes as the two companies see mutually aligned business capabilities and goals. 

Under the agreement, DDI will become a wholly-owned subsidiary of AnyMind Group. As this is the first acquisition of the company since it was listed on the Tokyo Stock Exchange Growth Market in back in March, Kosuke Sogo, CEO and co-founder of AnyMind Group, expressed his anticipation by saying, “We recognised the market potential of Indonesia and made it one of the first few markets we expanded into. Over the years, we have built up business momentum in Indonesia through our marketing business line and the acquisition of DDI provides us with another strong leader and additional boost into the e-commerce space here.”

After the acquisition, Tatum Kembar’s role as CEO at DDI will be transitioned into management director of AnyMind Group. In his new role, Tatum will continue to be in charge of DDI's management and operations, how she will be integrated into AnyMind's management structure is still in discussion, a spokesperson told MARKETING-INTERACTIVE. The rest of management of DDI remains unchanged.

According to a statement, this is also the first agreement the group has made to acquire a company in Indonesia. The two companies will be sharing their capabilities with AnyMind Group on its end-to-end commerce technology and its vast network and DDI on its eCommerce operations team. It will also handle customer networks in the country. With this acquisition, the company will also be looking to speed up its expansion into the eCommerce sector in Asia.

Founded in 2019 by Kembara, DDI offers a variety of services across the eCommerce ecosystem to Indonesian businesses, with a focus on consumer goods brands. This includes developing eCommerce strategies, managing warehouses and logistics, automating store operations, mobile marketing, and providing customer support, among other things.

Commenting on the merger, Kembara said, “From the get-go, we recognised the synergy that both companies have: DDI with our expertise in the e-commerce space in Indonesia, and AnyMind with their technology and partner network. We know that both companies can only move upwards from here, and provide both sets of customers with the best of both worlds.”

Prior to acquiring DDI, the group also acquired eight companies globally, including publisher trading desk FourM, Acqua Media, influencer networks Moindy, and cross-border marketing firm ENGAWA. On its purpose of acquisition of DDI this time, AnyMind Group said that it “views its M&A strategy in terms of two axes, business development and countries”, the group also sees great potential in Indonesia.

AnyMind Group told MARKETING-INTERACTIVE that the cost of the acquisition is US$5 million, with a further contingent consideration of up to US2.5 million. The acquisition of DDI will serve as a catalyst for our expansion into the Asian e-commerce market. DDI brings in-market expertise and operations, while we provide technology and our global networks, giving DDI's customers more options.

The news comes shortly after the group announced its first quarter results in the year of 2023. Its revenue increased 27% year-on-year (YoY) to $6.56 billion, where its gross profit increased 33% YOY to $2.45 billion. On the other hand, its adjusted EBITDA increased by 164.8% year on year to 180 million.

The top three business units accounted for the growth of gross profit are Marketing Platform (+26% year on year to 1.27 billion), Partner Growth Platform (+39% year on year to 770 million), and D2C Platform (+54% year on year to 394 million).
